Producer License Agreement

This Producer License Agreement (the “License”) is a binding contract between you (the “Licensee”) and Amitpal Badhan, doing business as “drtyangl”, an unincorporated arm of DRTY LABS based in Ontario, Canada (the “Licensor”). It governs every audio file, MIDI file, project file, drum sample, one-shot, loop, stem, preset, or any derivative thereof (collectively, the “Sounds”) sold or given away by the Licensor through drtyangl.com or any successor domain.
By downloading, accessing, or using any Sound, you accept this License in full. If you do not accept it, do not download or use the Sounds. Your account, order ID, IP address, email, and timestamp are recorded as evidence of acceptance.
Please acknowledge that all materials provided through drtyangl.com — including but not limited to audio files, MIDI files, stems, project files, drum samples, one-shots, loops, previews, and derivatives thereof — are copyrighted, published, and solely owned by Amitpal Badhan (drtyangl). All rights are reserved. By downloading any material from Amitpal Badhan, you agree not to use, share, or disclose such material to any third party in any manner outside the express terms of this License without prior written consent from Amitpal Badhan.
1. Grant of license
Subject to your full and ongoing compliance with this License, the Licensor grants you a non-exclusive, non-transferable, worldwide, perpetuallicense to use the Sounds within new, original musical compositions written by you or co-written with credited collaborators (each a “Composition”). The Sounds are licensed, not sold. The Licensor retains all underlying intellectual property rights in the Sounds, including copyright in the sound recordings and in the underlying musical works.
2. Permitted uses
- Incorporate the Sounds into Compositions you write or co-write.
- Distribute Compositions on digital service providers (Spotify, Apple Music, YouTube Music, TIDAL, Amazon, SoundCloud, Audiomack, etc.).
- License Compositions for synchronization to film, TV, advertising, video games, livestreams, and personal projects.
- Modify, chop, pitch-shift, time-stretch, layer, process, and resample the Sounds within a Composition.
- Perform Compositions live and stream them.
3. Prohibited uses
The following are strict breaches of this License:
- Reselling, redistributing, sublicensing, sharing, leaking, lending, or transferring the Sounds in their original or substantially similar form, whether free or paid, public or private, including in private Discord servers, Telegram channels, Google Drive folders, or peer-to-peer networks.
- Including the Sounds (modified or not) in any sample pack, loop kit, drum kit, soundfont, virtual instrument library, preset bank, or any product where the Sound itself is the primary value being sold or given away.
- Using the Sounds as training data, fine-tuning data, or evaluation data for any generative AI, machine-learning model, or similar system, including but not limited to text-to-music models, stem-separation models, drum-synthesis models, or voice-conversion models.
- Minting, fractionalizing, or selling the Sounds (or Compositions whose primary value is the Sounds) as NFTs or any blockchain-based asset where the audio is the resold commodity.
- Claiming authorship, co-authorship, or co-production of the Sounds themselves.
- Removing, altering, or obscuring any watermark, audio fingerprint, file metadata, or buyer-specific tag embedded in the Sounds.
- Reverse-engineering download URLs, sharing account access, or attempting to circumvent technical access controls.
4. Master royalties (sound-recording royalties)
For every Composition that uses one or more Sounds from a paid kit, drum kit, or bundle, the Licensor retains fifty percent (50%) of the master recording royalties — that is, fifty percent of all revenue derived from the sound recording of the Composition, including but not limited to streaming royalties, mechanical royalties on the master, sync fees attributable to the master, neighbouring rights, and any future format of master-side income.
For Sounds delivered via the free starter kit, the same 50% master royalty share applies.
The Licensee is responsible for crediting the Licensor as a featured master-share owner on all distribution platforms (DistroKid, TuneCore, UnitedMasters, CD Baby, AWAL, Stem, Symphonic, Empire, etc.) using the “splits” or “collaborators” feature, with payment routed directly to the Licensor’s name and email of record. Failure to set up the split before the Composition is released is a material breach.
5. Publishing royalties (musical-work royalties)
Where the loop's underlying melody, chord progression, or rhythmic motif is recognizably retained in the final Composition, the Licensor retains twenty-five percent (25%) of the publishing sharein that Composition, consisting of writer's share and publisher's share combined. This covers all downstream publishing income (mechanical, performance, sync, lyric reprint).
For drum-only, one-shot-only, or non-melodic uses (i.e., where the Sound contributes solely rhythmic or textural elements with no recognizable melodic or harmonic content), the Licensor takes zero (0%) publishing by default.
The Licensee is responsible for registering the Licensor's share with the relevant performing-rights organization (SOCAN, BMI, ASCAP, PRS, GEMA, etc.) and any mechanical rights agency before commercial release.
6. Producer credit
The Licensee shall include the credit “Produced by drtyangl” or “Co-produced by drtyangl” in:
- The track metadata submitted to all distributors;
- The track description on Spotify Songwriter / Spotify for Artists;
- The video description on YouTube;
- Liner notes, album credits, and any press release for the Composition.
Where the Sound is rhythmic-only and no producer credit is appropriate, “Drums by drtyangl” or “Loops by drtyangl” is acceptable. Failure to credit, while not voiding the License, is a material breach and gives the Licensor the right to demand correction within fourteen (14) days of notice.
7. Audit and forensic rights
The Licensor reserves the right, on reasonable suspicion of breach and at its own expense, to:
- Conduct audio forensic analysis on any released Composition or unreleased work suspected of incorporating the Sounds;
- Match watermarks, audio fingerprints, file metadata, and buyer-specific tags embedded in the Sounds against the suspected work;
- Request, in writing, that the Licensee provide DAW project files, stem renders, or rendered versions of the Composition for inspection within thirty (30) days, where breach is reasonably suspected.
Each Sound delivered to a buyer carries a unique watermark seed tied to that buyer's order ID and email. Leaked Sounds are forensically traceable to the buyer of record.
8. Liquidated damages and remedies for breach
Because actual damages from leaks and unauthorized redistribution are difficult to quantify, the parties agree the following liquidated damages are a reasonable estimate of loss and not a penalty:
- USD $500 per uniquely identifiable Sound found in any unauthorized public or semi-public location (Discord server, Telegram channel, Google Drive, peer torrent, file-host, AI training set, etc.);
- USD $2,500 per Sound found incorporated into a third-party sample pack, loop kit, drum kit, or any product where the Sound itself is the resold commodity;
- USD $5,000 per dataset, model checkpoint, or AI product trained on the Sounds in violation of Section 3.
These amounts are cumulativewith the Licensor's rights to actual damages, statutory damages under the Copyright Act (Canada) and the U.S. Copyright Act, injunctive relief, takedown remedies, and recovery of reasonable legal fees. Liquidated damages do not preclude criminal copyright remedies where applicable.
9. Indemnification
The Licensee shall indemnify, defend, and hold harmless the Licensor and DRTY LABS from and against any third-party claim, demand, suit, or proceeding arising out of or relating to (a) the Licensee's use of the Sounds in violation of this License, (b) any Composition the Licensee publishes (including allegations of infringement of third-party rights other than the Sounds), or (c) the Licensee's breach of any representation in this License.
10. No exclusivity
Nothing in this License grants the Licensee any exclusive rights to the Sounds. The Licensor may license, perform, sample, or otherwise exploit the Sounds for itself or any third party. Multiple Compositions by different artists may legitimately use the same Sound; the Licensee acknowledges this and waives any right to demand exclusivity unless a separate, written exclusive-license agreement is signed.
11. Termination
This License terminates automatically and without notice upon any material breach, including any violation of Section 3 (Prohibited uses). Upon termination:
- The Licensee shall delete all copies of the Sounds in the Licensee's possession or control within seven (7) days;
- The Licensee shall withdraw any unreleased Composition incorporating the Sounds from distribution;
- For Compositions already commercially released, the master and publishing royalty obligations under Sections 4 and 5 continue in perpetuity, and the Licensor retains the right to seek liquidated and statutory damages for the underlying breach;
- The Licensor may issue takedown notices under the DMCA and equivalent statutes to remove the Composition from any platform.
12. Refunds
Digital products are non-refundable once a download token has been delivered, except where local consumer-protection law mandates otherwise. If a file is corrupt, incorrect, or unplayable, email hello@drtyangl.com within seven (7) days and the Licensor will replace the file at no cost.
13. Coaching sessions
Audio files, MIDI, or sample renders shared by the Licensor during 1-on-1 coaching sessions are governed by this License unless a separate written agreement says otherwise. Custom drums, custom loops, or production work created during a session are subject to the master and publishing royalty splits in Sections 4 and 5.
14. Post-purchase deliveries
The Licensor may, at its discretion, attach additional files (kit updates, bonus stems, corrected exports, custom files from a coaching session) to a Licensee's order at any time after purchase. Such attachments become Sounds under this License and are governed by all provisions herein. They are delivered through the Licensee's authenticated account view and are not transferable.
15. No warranties
The Sounds are provided “as is”. The Licensor disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
16. Limitation of liability
To the fullest extent permitted by law, the Licensor's total aggregate liability under this License shall not exceed the greater of (a) the amount paid by the Licensee for the specific Sounds at issue, or (b) USD $100. In no event shall the Licensor be liable for indirect, incidental, consequential, special, exemplary, or punitive damages.
17. Governing law and jurisdiction
This License is governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, excluding choice-of-law principles. Any dispute arising under or relating to this License shall be brought exclusively in the courts of Toronto, Ontario, and the parties consent to personal jurisdiction there. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
18. Severability and waiver
If any provision of this License is held unenforceable, the remaining provisions shall remain in full force. No waiver of any breach is a waiver of any subsequent breach.
19. Entire agreement
This License, together with the Terms of Use and Privacy Policy, constitutes the entire agreement between the parties regarding its subject matter and supersedes any prior understanding. Amendments are valid only if signed by the Licensor.
20. Acceptance evidence
Each purchase or download is logged with: the buyer's email address; the order ID; the IP address at time of purchase; the user-agent string; the order timestamp; and the per-file watermark seed embedded in each delivered Sound. This electronic record is admissible evidence of acceptance and intent to be bound under the Electronic Commerce Act (Ontario) and equivalent statutes worldwide.
This document is the operative License as of v1.0. The Licensor may issue future versions for new purchases; the version applicable to your purchase is the version published at the time of purchase. Contact hello@drtyangl.com with questions before purchasing if anything is unclear.
